Coagy

Terms of Service

Last updated October 30, 2026

These terms are the agreement between you and Coagy (“we”, “us”) for using coagy.com and the Coagy service. By creating an account or using Coagy you agree to them. If you do not agree, do not use it.

1. Who can use Coagy

You must be at least 16 years old and able to form a binding contract. If you use Coagy for a company or other organization, you confirm that you have authority to accept these terms for it, and “you” includes that organization.

2. The service, and its early stage

Coagy is a shared workspace where teams watch, steer and coordinate coding agents that run on their own computers. Coagy is an early product. Features may change, be limited or be removed, and the service may have errors or interruptions. We try to give notice of significant changes but do not promise uninterrupted or error-free service.

3. Accounts, workspaces and roles

  • Keep your sign-in details and your connected computers secure. You are responsible for what happens under your account and on computers you connect.
  • A workspace belongs to the person who created it (the owner), who controls its members, roles, settings and plan. Owners can see and manage everything in their workspace, and delete it.
  • Everything in a workspace is visible to its members according to their role. Only add people you trust, and do not put information in a workspace that you are not allowed to share with them.
  • Provide accurate information and tell us if you think your account has been misused.

4. Your content

You keep ownership of the content you and your agents put into Coagy (prompts, messages, files, code and so on). You give us a limited, worldwide licence to host, store, process, display and transmit it only as needed to provide and secure the service for you and your workspace. You are responsible for your content, for having the rights to use it, and for making sure that it, and what your agents do with it, complies with the law, with these terms and with any agreements that apply to it (for example your employer’s rules or open-source licences).

5. Agents and AI: your responsibility

  • Coagy coordinates coding agents that you run. They run on your computers and under your accounts with their providers, not ours. We do not provide, control or guarantee any AI model, and the providers’ terms govern your use of them. You pay them directly.
  • Agents can read and change files, run commands, make commits and pull requests, and use the apps you connect. They can be wrong, and they can do things you did not intend. You are responsible for reviewing and testing what they produce and for the actions they take on your behalf. Approval prompts and other controls help, but they are not a security sandbox and do not guarantee that an action is safe.
  • Sharing an AI account: if you let teammates use your computer or AI account through Coagy, you are responsible for making sure that is allowed by your AI provider’s terms. Some providers do not allow account or subscription sharing. Usage on a shared account counts against the account’s owner, and Coagy is not responsible for provider charges, limits or suspensions.
  • Connected apps: when you connect a third-party service, your agents act in it with your permissions, and its terms apply. We are not responsible for what that service does or for actions your agents take in it.
  • Do not rely on Coagy or agent output as professional, legal, financial, medical or security advice.

6. Acceptable use

You must follow our Acceptable Use Policy. We may suspend content or accounts that break it.

7. Plans, fees and billing

  • Free covers up to 4 developers in a workspace. People who only watch, comment and chat do not count. Some controls (such as the monthly spend limit, invite controls and the audit log) are part of the Team plan.
  • Team is billed monthly in US dollars through Stripe: $6 per developer for the first 4 developers and $12 per developer after that. The number of developers is adjusted as people join or leave your workspace; extra days may be prorated. Stripe’s terms apply to payments.
  • Subscriptions renew automatically each month until cancelled. You can cancel at any time in Plan & billing; the plan then ends at the end of the period you have paid for and you will not be charged again.
  • Fees are non-refundable except where the law requires or where we choose to give a refund. Prices exclude taxes, which we add where required.
  • We may change prices or plan limits with at least 30 days’ notice before they apply to you. If you do not agree, cancel before the change.
  • If a payment fails, we may limit paid features until it is paid, and the workspace can return to Free.

8. Our rights

Coagy, its software, design and brand belong to us and our licensors. We give you a personal, non-exclusive, non-transferable right to use the service under these terms. Do not copy, modify, reverse engineer or resell the service, except where the law allows. Parts of Coagy use open-source software under their own licences. If you give us feedback or ideas, we may use them without obligation to you.

9. Privacy

Our Privacy Policy explains how we handle personal information. It forms part of these terms.

10. Ending the agreement

You may stop using Coagy and delete your workspaces at any time. We may suspend or end your access if you break these terms or the law, if your use risks harm to others or to the service, if payment fails, or if we stop offering the service; where reasonable, we will give notice and a chance to export your data. Deleting a workspace deletes its content. Sections that by their nature should continue (such as ownership, disclaimers, liability and the sections on law and disputes) survive.

11. Disclaimers

Coagy is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and any warranty about the accuracy, security or reliability of the service, of agents or of their output. We do not warrant that the service will be uninterrupted, error-free or free of data loss, so keep your own copies and back-ups of anything important.

12. Limitation of liability

To the fullest extent the law allows, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business, or for the cost of replacement services, arising from or related to the service, even if told of the possibility. Our total liability for all claims relating to the service will not exceed the greater of the amount you paid us in the 12 months before the claim arose and US$100.

Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence. Some places do not allow some of these limits, so they may apply to you only as far as the law of your place allows.

13. Indemnity

You will defend and compensate us and our team against claims, losses and costs (including reasonable legal fees) that arise from your content, from what your agents do on your behalf, from your breach of these terms or the law, or from your use of third-party services or AI accounts in ways their terms do not allow.

14. Governing law and disputes

These terms are governed by the laws that apply in the place where Coagy’s operator is established, without regard to conflict-of-law rules, and the courts of that place have jurisdiction, except where the law of your country gives you the right to bring a claim in your home courts. Before starting a claim, please email us and give us 30 days to try to resolve it.

15. Changes to these terms

We may update these terms. If a change is material, we will give you notice (for example by email or in the product) at least 14 days before it applies, except where we must change them sooner for legal reasons. If you keep using Coagy after a change applies, you accept it.

16. General

These terms, with the policies they link to, are the whole agreement between us about Coagy. If part of them is found unenforceable, the rest stays in force. Not enforcing a term is not a waiver of it. You may not assign these terms without our consent; we may assign them as part of a merger or sale. We are not liable for delays or failures caused by events beyond our reasonable control, including outages of internet, cloud or AI providers.
